Our people make the difference in our success. **Contract Type:** Regular (Undefined) **What Are We Looking For?** Responsibilities: * Support the CL Director in corporate loan origination. * Identify market opportunities by analyzing clients’ financial profiles and prepare required documentation to secure mandates. * Monitor market trends using internal and external information sources to maintain key metrics for comparable loans. * Prepare technical materials sent to BBVA’s current or prospective clients, including marketing materials, updates, and market proposals containing pricing and structural analysis. * Lead the execution process, focusing on documentation preparation and other administrative matters. * Coordinate with the Syndications Unit on market analysis (pricing, liquidity, participants, etc.) for corporate loan proposals. * Prepare necessary documentation to obtain required commercial and risk approvals. * Lead transaction structuring and financial analysis. * Prepare all marketing documents and materials (pitches) under the supervision of the CL Director. * Coordinate with the Legal Department for documentation review and validation. * Lead negotiations with clients, banks, and, where applicable, external consultants under the supervision of the CL Director. * Analyze financial statements and/or projections of companies or investment projects to provide the CL Director with a basic report supporting business origination decisions. * Coordinate with the Finance Department to determine funding costs for each operation under their responsibility and support obtaining applicable commercial authorizations (e.g., profitability calculations). * Manage detailed client or project analysis to support formal financing proposals and present participation proposals to the Risk Department. * Lead evaluation and negotiation of financing contracts under the supervision of the CL Director. * Lead coordination with external advisors as needed per transaction (e.g., legal, technical, market, insurance advisors), under the supervision of the CL Director. * Register new transactions in the Bank’s systems and coordinate with the Administration Unit to submit all required documentation for disbursement (e.g., guarantee registration, document signing). * Identify credit opportunities among Corporate Banking clients by analyzing financial statements to detect potential liability restructurings, capital investment needs, or merger and acquisition opportunities, aiming to secure credit before syndication to banks. * Conduct credit analysis, evaluating financial statements, projections, cash flows, sector analysis, and risks associated with borrowers. * Design an attractive and viable financial structure and financing proposal for participating banks and the client. * Define commercial terms and guarantees, drafting Terms and Conditions covering commercial considerations such as amount, tenor, amortization profile, interest rate, fees, guarantees, financial metrics, affirmative and negative covenants. * Prepare the Financial Report: a detailed document covering the company, industry, use of funds, and financial projections, serving as the basis for invited banks to conduct their own risk assessment. * Execute the syndication (distribution) process: selecting and identifying banks with appetite for the borrower’s sector or region; organizing meetings between the borrower and potential banks to present the transaction and address questions; receiving participation commitments from each bank; and, if demand exceeds the loan amount (oversubscription), negotiating final allocation. * Coordinate legal formalization and financing closing by closely collaborating with internal and external legal advisors to convert the Term Sheet into the Credit Agreement. * **From the BEI perspective:** * Negotiate with the syndicate and mediate between participating banks’ requests for contract changes and the borrower’s willingness to concede flexibility. * Ensure all conditions precedent (CPs) are satisfied to proceed with funding (signing and disbursement). Requirements: **1\. Academic Qualifications** --------------------------- **University Degree:** Bachelor’s degree in Finance, Economics, Business Administration, Commercial Engineering, Industrial Civil Engineering, or related fields. * **Postgraduate Studies:** Master’s in Finance, MBA, or international certifications such as **CFA** (Chartered Financial Analyst) or **FRM** (Financial Risk Manager). **2\. Professional Experience** ------------------------------- * **Years of Experience:** Between **4 to 7 years** of experience. * **Key Sectors:** Experience in Corporate Banking (CIB), Investment Banking, Structured Finance (Project Finance, Acquisition Finance), or Syndicated Lending. * **Experience** actively participating in origination, structuring, distribution (syndication), and legal closing of complex corporate transactions. **3\. Technical Knowledge** ------------------------------ * **Financial Analysis and Modeling:** Advanced proficiency in financial statement analysis, creation and review of projections, cash flow modeling, and debt metrics (financial ratios). * **Credit Structuring:** Ability to design financial structures (tenors, amortization schedules, covenants, guarantees) and draft *Term Sheets*. * **Banking Legal Documentation:** Deep familiarity with credit agreements (*Credit Agreements*), understanding of affirmative and negative covenant clauses, and management of Conditions Precedent (CPs). * **Capital Markets Knowledge:** Understanding of *pricing*, liquidity, and risk appetite dynamics of participating banks in the syndicated loan market. **4\. Tools and Languages** ------------------------------ * **Languages:** **Advanced/Bilingual English** (mandatory).
